Do I Need A Business License ?



Recent changes in Arizona LLC law.



LLC Name

These changes are provided in LLC of the AZ revised Statutes, Sec. 29-3101 and the restructuring act. New AZ law for LLCs added and changed the LLC law to additional default LLC provisions. For example, some changes are made in the name that must contain "limited liability company," or an abbreviation such as "LLC". The name can be reserved for a 120 day period.

LLC Operating Agreement

The new law provides that it can be oral as opposed to "in writing," in the sense that can be recorder with a recorder but nevertheless, the operating agreement supercedes the default Arizona provisions. By the same token, if something is not mentioned in the LLC agreement, the AZ LLC default provisions apply.

LLC Managment
As opposed to AZ LLC law, in some states, the managment issue is not provided in state LLC provisions. In AZ, however, managment is reserved to the LLC members unless otherwise provided in the LLC operating agreement. Despite that, whoever manages an LLC in Arizona, owes a fiduciary duty of care an loyalty unless otherwise provided in the agreement.



Sharing of Distributions
The new default provisions pertain in case of dissolution. In such case, the distribution is equal among the LLC members unless otherwise provided in the LLC agreement.



Recordkeeping
In most states, there are lenient provisions for record keeping. However, AZ default provisions provide for recordkeeping of financial records for at least 3 years. In addition, a record of members, managers, and copies of the LLC articles as well the operating agreement must be kept.

Mergers and Conversions
The AZ entity and restructuring act provides that mergers and converions are allowed ase well as interst excahges and domestications.

Dissolution
To dissolve, an LLC must provide it in the agreement, the members must consent, or there must be no members for at least 180 days.

I am an interior designer that resides in PA and work from my home office - sole member LLC. I do not have a DBA name. I have my LLC formed in DE. The bulk of my work is in DE. I have a DE business license, FED EIN but am unsure if I need a DE wholesale license for reselling or should I be doing it in PA along with a PA business license?
