Free - New Hampshire - LLC Limited Liability Company

Required Licenses and Registrations When Setting up an LLC in , New Hampshire.

New Hampshire LLC certificate and an LLC operating agreement.
New Hampshire A Federal Tax ID EIN.
NH Business Tax Registration (Business License)

In New Hampshire, your LLC name is required to have the suffix "Limited Liability Company" or "Limited Company," or a suffix such as "LLC," "LC," "L.L.C.," or "L.C."

Before we file your LLC, we will search for your LLC name availability.

You may want to file for a name that you like to be reserved but that may cost more and in most cases you will not have to.

2. Obtain the LLC Articles of Organization

That is exactly how an LLC is created at the state level. You will need to register your Articles of Organization. In New Hampshire, the articles of organization which are normally a couple of pages long, require that a registered agent is assigned.

3. Assign or be the New Hampshire Registered Agent

A registered agent, in New Hampshire, may be yourself if you are an one member LLC. The function of the agent is to receive service of process for any suit that might be filed vs your LLC.

4. An Operating Agreement is Required in addition to the Articles of Organization

The operating agreement is required in every state because you need it to open a bank account and also need to notarize it and keep it to prove that you are the owner of the LLC. As discussed, the articles of organization, i.e., the LLC certificate does not have the

5. Register for Other Licensing and Tax Registrations

EIN: All New Hampshire LLCs must have an EIN. You may have heard that if you are the sole member and you treat your LLC as a disregarded entity, you may not need it. However, you cannot open an LLC business bank account without an EIN, so you do need it. In addition, If your LLC has more than one member, you must obtain the Federal Tax ID also called an Employer Identification Number (EIN). Of course, you also need an EIN if your LLC will be an employer, treated as a corporation or if it has more than one member.

Business License: A business license is a business tax registration separate from other tax or licesning registrations. An LLC needs a business license.

State Tax Registration: In some states, the department of revenue may want you to register and obtain a tax number as a general number to identify you for taxes. Otherwise, there are 2 State Tax IDs: an State Employer Tax ID SEIN and a Sales Tax ID also called

a seller's permit.

State Income Taxes: Most states, as well as the State of NH, require you to file a income tax return for your LLC. You do that as you file the federal tax return. Each member must pay his share of taxes if the LLC is treated as a partnership even in the case that an owner resides in another state.

6. Registering as a Foreign LLC

In all states, if you are an LLC from another state, you will either have to register a new LLC in NH or register as a foreign LLC. In both cases the fees are about the same and the same effect is effected.

What licenses and registrations do I need to start a family entertainment center in Exeter, NH?

Daryl wrote: “I run a mobile laser tag company. I set up laser tag matches at the client's location and supply the laser tag guns, obstacles and refereeing. I will also provide my equipment and expertise to train law enforcement in special tactics and active shooter scenarios.”

Hi Daryl, Tactical Taggers sounds like a promising venture. Birthday packages, memberships, and snack bar sales give each visit several ways to bring in money. Because you want to protect your personal assets, look more credible to customers and banks and manage self-employment tax, we start with the LLC and build everything else around it. In this answer you will find the business structure, the tax registrations, and the local and industry licenses for Tactical Taggers, plus a short recap at the end.

A birthday party and a police-training day are very different customers, so treat them as two services with two contracts. For the party side, a signed waiver, insurance that covers an injured player, and a rule that nobody runs in the dark are the basics. The training side should be marketed only on experience you can document, with scenarios clearly labeled as simulation, since any claim about tactics invites scrutiny. New Hampshire has no general sales tax and no tax on wages, so an employer there would only need an unemployment account. Your LLC reasons all fit: a lawsuit after a fall at an event should reach the company, and written agreements help you look established to schools and departments.

What Tactical Taggers needs

  1. LLC (limited liability company) – An LLC shields your house, car, and savings from claims against the business, and it looks more established to customers and banks. A parent who trips over a loose mat in the party room could file a claim, and the LLC keeps it away from your personal assets. Once profits grow, an LLC can elect S corporation tax treatment, which can lower self-employment tax; ask a tax adviser when the numbers justify it.
  2. DBA (doing business as) registration – If you operate as a sole proprietor, or under a name different from your LLC's exact legal name, registering "Tactical Taggers" lets you use it on signs, invoices, and your business bank account.
  3. EIN (federal tax ID number) – The federal tax ID number (EIN) identifies the business for taxes. You need it for an LLC, a business bank account, wholesale suppliers, and your first hire.
  4. Sales tax – New Hampshire has no statewide sales tax, so you usually will not need a sales tax permit for sales made in New Hampshire. If you sell into other states, their rules may apply.
  5. Business license – Governments license businesses so they can collect a modest tax, usually based on gross receipts or a flat yearly amount, and keep inspectors checking safety: exits, fire extinguishers, and how many people a space can hold. Plan on one for Tactical Taggers in Exeter. Food businesses that cannot pass inspection at home often rent a licensed commissary kitchen by the hour.
  6. Amusement ride or play structure inspection where required – Some states require inspections for rides, inflatables, or large indoor play structures used by the public.
  7. Food permit for a snack bar – A snack bar or party room with food service usually requires a food permit.

By the numbers: Banks, insurers, and tax forms will ask for your industry code. For a family entertainment center it is NAICS 713990 (All Other Amusement and Recreation Industries). That makes 7 items on your list.

Tip: Review occupancy limits and fire code before designing the layout, since crowded party days test both.

To recap: Tactical Taggers in Exeter, NH needs an LLC, a DBA, an EIN, a business license, amusement ride or play structure inspection where required, and food permit for a snack bar. Handle these early and the business starts on solid ground.

Hi Phylicia, Music production sole proprietors can be an LLC . If you file an LLC , you will register your fictitious business name "Tr3nom," and be a corporate entity. In addition, since you sell merchandise, you will also need a wholesale ID. Finally, all LLC s need an EIN, which is the business ID number, and a business license, which is a business tax registration ID.

LLC Benefits:
The main benefit is the pass throught taxation that may also help avoid employment taxes for sole member LLCs.
You should File an LLC because it is a one of the best ownership types.
You will have financial and civil liability protection from an LLC. For example an LLC judgment debtor can only seize LLC assets instead of your personal assets such as your individual personal bank account.
Prestige and credibility is another benefit of an LLC.
Using an LLC name. The name should not be your name because it may entangle you in liability.
The LLC is the only entity that protects both your personal assets and business assets. For example if they sue the LLC they cannot access your personal assets. Likewise if they sue you the cannot access the LLC assets. Compare that to a corporation that while it protects your personal assets it does not protect your business assets. If someone sues you personally and you have a corporation the creditor can access the corporation shares and seize them.

Are there any restrictions as to the name of the LLC?
The name of a limited liability company must contain "limited liability company" or "limited company" or the abbreviation "L.L.C." "LLC" "L.C." or "LC". "Limited" may be abbreviated as "Ltd." and "company" may be abbreviated as "Co.

Why is an LLC better than a limited partnership when it comes to holding real estate with an LLC?
LLC members and managers are not personally liable with an LLC structure. However, though the partners are not liable in a limited partnership, the general partner is 100% liable for the partnership debts and other liabilities.

How do I fund my LLC?
You can fund the LLC either as a capital contribution or a loan. Simply register the asset under the LLC name or simply deposit the cash in the LLC bank account.

What other tax IDs and License permits do I need for my LLC?
After you get the LLC articles, the operating agreement and the EIN, then you need a business license for your LLC business. Also if you sell taxable items you will need a seller's license ID and if you will hire anyone, you will also need a state employer ID number to pay employment withholding taxes to the state.

Can I form an LLC pay myself as an employer and then put myself on unemployement benefits?
No you cannot do that because state statutes prohibit owners from firing themselves and collecting unemployment.
Business LLC Registration Do I need a New Hampshire Limited Liability Company (LLC)?
When you start a New Hampshire business You need to choose the tax and legal structure of the business. It can be a sole proprietor, a partnership or an LLC or Corporation. The you need to obtain the permits and tax IDs for the state of New Hampshire. New Hampshire LLC. A New Hampshire is a corporate entity created by filing an LLC certificate
at the New Hampshire secretary of state office.
In addition to a LLC, you may need a New Hampshire fictitious firm business name registration because it is required if you use a name other
than the registered LLC name as a business trade name.

Thus, a trade fictitious business name
registration is required if trading with a name other than
the llc or corporation name.

New Hampshire LLC vs. "S" Corporation.

As with an "S" Corporation, a limited liability company is like another company or neighbor. So for example if someone sues your neighbor and obtains a judgment against him, they cannot seize your house to satisfy the judgment because it is a judgment vs your neighbor. So an LLC is a shield against
creditors and lawsuits arising out of business transacions.
The llc will shield your personal assets such
as automobiles or homes. An LLC is more flexible but an "S" Corporation may help you save on employment taxes if you are self employed so long as you pay yourself a reasonable salary and then pay yourself dividents from the S corporation because dividents are not subject to employment taxes. New Hampshire Incorporation.

You can incorporate instead of setting up an LLC. A corporation can be either "S" or "C" as a business corporation. It is like a shield / veil against creditors
and lawsuits arising out of business transacions.
The corporation will shield your personal assets
such as your investments in a brokerage house and automobiles or homes. Also, note that if you incorporate or set up an LLC, you will not need to file for an assumed business trade name

Q:Why should I form an LLC to protect my assets since my business is operated through a website and it is unlikely that I will be sued.
A: You can be sued for many and any reason even if you only operate a business through a website..
Q:Anyway, I don't think they will ever have a lawsuit against me for just operating a website.

A:You can be sued for copyright infringment, contractual obligation and or defamation from materials you publish on your website so that is how an LLC protects you from lawsuits vs. your personal assets.
Q:What steps can I take to protect myself from business lawsuits?
A:The first thing to do to protect yourself is to set up an LLC. Then if you can afford it buy business insurance. Finally do not get into trouble by doing illegal things such as fraud etc.
Q:Do I have to be a member of an LLC to be its registered agent?
A:No anyone can be the registered agent because an agent is there to only receive mail and service of process in case you get sued. A registered agent must have a physical address. So you cannot use a PO box to be a registered agent.

I need advice on business insurance, finding investors, a website and advertising for my record label. Does the LLC service include the state fee and an operating agreement?
10/14/2026 5:04 AM

For a record label, an LLC is the right base. You handle artists' contracts, royalties and releases, and the LLC separates any dispute from your personal assets. The state's filing charge is shown apart from our service fee on the order page, and the operating agreement is prepared with your LLC, so your bank can open the account.

• Insurance: ask an insurance agent about general liability and media liability for a label, plus coverage for equipment.
• Investors: they usually want a formed LLC, an operating agreement and clean books first, then a clear plan for how their money is used.
• Website and advertising: register the name and open the bank account before you spend on promotion.

A surety bond is not what you need. Insurance protects you from claims, while bonds guarantee performance in certain regulated trades.

Do I need an LLC and a tax ID if my items are not taxable in my state? I also need to register a business at an address in Georgia.
10/14/2026 5:04 AM

Yes, an LLC still makes sense even when your products are not taxable. Taxability is only about sales tax, while the LLC is about protecting your personal assets from product and customer claims, and about credibility. With investors in mind, a formal company is what they will want to see.

On the tax ID, you still need an EIN for banking and federal taxes, since that is separate from sales tax. A seller's permit may not be needed if everything you sell is exempt, but many suppliers and marketplaces still ask for one, so check with them. Health and beauty products can be taxable in other places, so check where you sell.

For the Georgia address, I cannot supply an office location. Register the business at the real place where you operate, or use a registered agent's address for state papers. A local business license depends on that location.

I live in New York and want to start a mobile petting zoo. I also want to sell gift baskets by taking the order and having a company ship it. What do I need, and can I charge sales tax?
10/14/2026 5:04 AM

A mobile petting zoo carries real risk, since children and animals mix and a bite or a fall could lead to a claim. An LLC is the proper vehicle, because it separates that exposure from your personal assets, and it can bring in investors. A foreign owner is fine for an LLC.

• Petting zoo: animal exhibits are regulated, so expect animal health paperwork, permits for events, and liability insurance that venues will ask for.
• Business license, locally, plus approvals for each event location.
• EIN, for banking and taxes.

For the gift baskets, to charge sales tax you need a seller's permit, which in New York is registered as a certificate of authority. Even if you never touch the product or the money, if you take the order and your company is the seller, you generally must be registered to collect tax. If the other company is the seller of record, it may handle that, so clarify who sells.

How long does it take to get a reseller's permit in New York with expedited service? I do not have a certificate of authority for my LLC. I also have questions about zoning for a home inspection business.
10/14/2026 5:04 AM

In New York, the sales tax registration is called a certificate of authority, and a reseller's permit is built on it, so you do need one for your LLC. We can file it with expedited handling, which moves faster than standard processing, but I cannot promise a specific number of days because timing depends on the application.

Home inspection is a service, so the permit matters mainly if you also sell products or tools that are taxable. Your LLC fits the business well: inspectors face claims when something is missed, and the LLC separates those from your personal assets.

• Zoning: a home office is usually allowed, but you do not need a vote from the town council in most cases. Ask locally whether a home occupation approval applies.
• Professional license: home inspectors are licensed in many places, so confirm before you take clients.

File the certificate of authority well before your first sale, since New York asks that you register in advance.

What license do I need to buy seafood in Louisiana, transport it to Tennessee and sell it to restaurants and the public, and do I need a wholesale license?
10/14/2026 5:04 AM

Form an LLC before anything else. Moving fresh shrimp and other seafood across state lines involves spoilage, illness and vehicle risks, and the LLC protects your personal assets while showing restaurants that they are dealing with an established company. A foreign owner can hold an LLC, too.

• EIN, for the account, payroll and supplier accounts.
• Seller's permit: it works as your wholesale and resale registration, so you can buy without tax and sell with tax. You may need one wherever you sell.
• Seafood dealer permit: seafood is regulated at each step, including buying, cold storage and delivery, so ask where your product is sourced and sold.
• Business license, locally.

Whether you open a fish market or a restaurant, each needs its own food permits and inspections.
